Introduction
These Terms of Use (“Terms”) govern your access to and use of Susurate, a product of Social Collective Ltd (“We”, “Us”, “Our”). Susurate is a software platform designed to facilitate impact data collection, management, and reporting for organizations focused on sustainability and ESG initiatives. By using the Susurate platform, you enter into a binding agreement with Social Collective Ltd (Registration No. 2015/160496/07), governed by these Terms, along with our Privacy Policy and any applicable Subscription Agreement between you or a subscribing third party and Social Collective Ltd.
Your use of Susurate constitutes acceptance of these Terms. If you do not agree, do not access or use Susurate. Continued use following any amendments to these Terms signifies your acceptance of the updated Terms.

Definitions
Key terms used in these Terms include:
• “Applicable Data Protection Laws”: Privacy regulations applicable to your jurisdiction, including GDPR, POPIA, and others.
• “Platform”: The Susurate software and associated web-based services.
• “Subscriber”: The entity entering a Subscription Agreement for use of Susurate.
• “User”: Individuals authorized by the Subscriber to use the Platform.
• “Personal Information”: Any information that identifies a living individual or organization.
• “Services”: The functionalities offered by Susurate, including data collection, analysis, and reporting tools.
Acceptance and Modification of Terms
1. By accessing or using Susurate, you acknowledge and agree to these Terms.
2. We may modify these Terms at any time. Updates will be effective immediately upon posting on the Platform. It is your responsibility to review these Terms regularly.
3. Substantial changes will be accompanied by a 30-day prior notice to affected Users.
Account Creation and Responsibilities
1. Users must register for an account to access Susurate.
2. Login credentials must remain confidential, and you are responsible for all activities associated with your account. Notify us immediately if you suspect unauthorized access.
3. Accounts must not be created using bots or automated systems.
Use of the Platform
1. Susurate is intended solely for lawful purposes and within the scope of your Subscription Agreement.
2. Prohibited activities include but are not limited to:
• Unauthorized access or sharing of account information.
• Reverse engineering or unauthorized reproduction of the software.
• Uploading malicious code or violating intellectual property rights.
Data Protection
1. We comply with all Applicable Data Protection Laws regarding Personal Information.
2. Subscribers are responsible for ensuring the legality and accuracy of any data submitted to Susurate.
3. Users consent to the processing of their data as per our Privacy Policy.
Intellectual Property
1. All intellectual property related to Susurate remains the exclusive property of Social Collective Ltd.
2. Users are granted a non-transferable, non-exclusive license to use Susurate under their Subscription Agreement.
3. Unauthorized use or distribution of our intellectual property is prohibited and may result in suspension or termination of access.
User Conduct
1. You agree to use the Platform responsibly and in compliance with these Terms.
2. Misuse, unauthorized distribution, or activities that harm the integrity of the Platform may result in account suspension or legal action.
Liability and Indemnity
1. Susurate is provided on an “as-is” basis, and we disclaim all warranties, express or implied.
2. Social Collective Ltd is not liable for indirect, incidental, or consequential damages arising from your use of the Platform.
3. Users indemnify Social Collective Ltd against claims, damages, and losses arising from misuse of Susurate or violation of these Terms.
Termination
1. Your access to Susurate may be suspended or terminated for:
• Breach of these Terms or your Subscription Agreement.
• Unlawful use of the Platform.
2. Upon termination, you must cease all use of Susurate immediately.
Governing Law and Dispute Resolution
1. These Terms are governed by the laws of the Republic of South Africa.
2. Disputes will first be resolved through mediation. If unresolved, arbitration under UNCITRAL rules will follow.
